Registration of a TRADE REPRESENTATION (TR) on the territory of the Republic of Bulgaria


      The registration process takes a lot of time and requires a lot of paperwork, time and money. This article is just a short guide that will come in handy for those who decide to carry out these actions on their own. The data are relevant at the time of writing on January 22, 2021. Always check all changes and relevance of information on the official website of the BCCI (link, just click).

 

          Having decided to register the TR of your company in Bulgaria, you will need to submit the following documents to the Bulgarian Chamber of Commerce and Industry (BCCI):

  • Application of the approved sample.
  • The constituent documents of the organization, certified by a notary. TIN / KPP certificates.
  • Extract from the Unified State Register of Legal Entities, at the place of registration of the head company (extract from the tax office - valid for 6 months from the date of issue).
  • Original and copy of the resolution of the board of the firm on the opening of a representative office in the Republic of Bulgaria. As a rule, this is the minutes of the meeting of the board of shareholders, the board of directors or the board of the company, officially certified by the seal of the organization, with the appropriate signatures and seals.
  • Justification of the need to open a representative office in Bulgaria.
  • Copies of passports of future representatives and director (valid passports).
  • A notarial power of attorney from the director of the company, allowing the persons (representatives) listed in it to carry out representative activities on behalf of the parent company. The director himself can become a representative by right and this document is not required.
  • Samples of signatures of the person to be entered and the director (only with a Bulgarian consul, or a Bulgarian notary). Moreover, the representative is also required to agree to become a representative, in addition to the sample signature.
  • Financial report from the head office for the last 2 years (stamp and notarized signature of the director)
  • Certificate of absence of tax arrears from the parent company.
  • The registration address of the future representative office is a notarized copy (a notarial deed or a notarized office lease agreement). Director's signature + Seal.
  • Work plan of representatives for the current moment and for the year ahead with an indication of the responsibilities for each representative.
  • A notarized power of attorney to the representative of the organization, who is entrusted to carry out all the necessary activities for the registration of TP in Bulgaria.


All documentation in a foreign language must be translated into Bulgarian and legalized. Consideration of an application at the BCCI also takes about 7-10 days on average.

 

The initial entry into the Register of the Trade Representation will cost, the official tax is 170 euros, you can follow the price changes on the official website of the BCCI.

 

After receiving the certificate of opening a Trade Representation, you must submit an application and pay the tax to BULSTAT (Registration Agency), after which you will receive a certificate with a number assigned in the Bulgarian register of foreign organizations and individuals. It usually takes one day.

 

After these steps, you can order a "Certificate" for your further purposes.

Issuance of a certificate "for the actual stay of the representative office in a foreign country on an alien face for the sake of: candidates for a visa or for receiving a certificate for a long-term stay", in 2 copies usually, at the moment it costs - 84 leva (within 24 hours), if you want it sooner 3 hours of issuing a certificate will cost you 50% more of the principal. The validity of such a certificate is just one month.

   !NOTE!:

Within 4 months from the date of registration of the TP, it is necessary to submit to the Bulstat register a declaration of the actual owner of the parent company.

Do not forget about the annual updating of the state of the sales office and reports in the BCCI.

It is imperative that the legal form of the parent company is LLC (for Russia) or similar for other countries.

If, in order to open a representative office, it becomes necessary to send a trusted person to Bulgaria, then the costs of such an enterprise can amount to an impressive amount. It will include visa processing, flight to Bulgaria, hotel accommodation, travel payments to an employee, etc. In this case, it will be much more convenient, faster and more expedient from an economic point of view to use the services of specialized organizations dealing with similar legal issues on a professional basis.

 

In the end, we can add that we went all this way, listed above, on our own, and it was not easy.
